Non-Merchant Terms of Service

Tekel Inc. is a Wyoming corporation ("Tekel," "we," "us," or "our").

These Non-Merchant Terms of Service ("Terms") govern your access to and use of the Tekel website, mobile application, marketplace, networking tools, data-sharing features, and any other products, services, or technologies we make available (collectively, the "Platform"). By creating an account, accessing, or using the Platform in any way, you ("you" or "User") agree to be legally bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.

These Non-Merchant Terms apply only to Users who do not list, sell, or provide products or services on the Platform.

Additionally, these Non-Merchant Terms of Service are presented in two parts: Part One ("Our Commitments"), which provides a human-readable summary, and Part Two ("Legal Terms"), which forms the binding legal agreement between you and Tekel. Part One is intended to help explain our approach, but if there is any inconsistency or conflict between Part One and Part Two, Part Two shall govern and control.

I. Eligibility

Use of the Platform is limited to individuals who are at least eighteen (18) years of age, or the age of legal majority in their jurisdiction, whichever is higher. By using the Platform, you represent and warrant that you meet this eligibility requirement and that your use of the Platform complies with all applicable laws, rules, and regulations. If you use the Platform on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

II. Accounts

To access certain features of the Platform, you must register an account. You agree to provide accurate, complete, and current information when creating an account, and to maintain and promptly update such information as necessary. You are responsible for all activities that occur under your account and for maintaining the confidentiality of your login credentials. You may not share your account with others, create multiple accounts for abusive or deceptive purposes, or impersonate another person or entity.

We reserve the right to verify your identity at any time, including through third-party service providers, in order to protect the integrity of the Platform and comply with applicable law. Failure to provide verification when requested may result in suspension or termination of your account. If you become aware of unauthorized use of your account, you must notify us immediately.

III. Identity Verification and Compliance

Tekel may require users to complete identity verification, business verification, or other compliance reviews through Tekel or third-party service providers, including payment processors, in order to access payment features or receive funds through the Platform. You agree to provide accurate, current, and complete information and documentation as requested and to promptly update such information as necessary. Additionally, Tekel may require identity or business verification for any account holder, administrator, or authorized user with access to payment, payout, or financial settings, as required by applicable law or payment processor rules.

Failure to complete verification, provide requested information, or comply with applicable verification requirements may result in delayed payments, withholding of funds, suspension of payment capabilities, or termination of your account, as required by law or payment processor rules. Tekel is not responsible for delays or interruptions in payment processing resulting from verification or compliance requirements imposed by third-party providers.

IV. Marketplace Role

Tekel provides a technology platform that enables Users to connect, share information, and engage in transactions for products and services. You understand and agree that Tekel does not manufacture, create, sell, resell, provide, control, or deliver any products or services listed by Users on the Platform. Unless otherwise expressly stated, Tekel is not a party to any transaction between Users. All contracts for purchase and sale are directly between the buyer and the seller.

You may not share your account credentials with others except through Tekel's authorized account access, administrator, or user-designation features. You are responsible for all activity that occurs under your account, including activity by any authorized users. You may not create or use multiple accounts for abusive or deceptive purposes or impersonate another person or entity.

You acknowledge that Tekel does not and cannot verify the legality, quality, safety, suitability, or accuracy of any products, services, or content provided by Users. Tekel does not guarantee that a buyer or seller will complete a transaction, and Tekel has no responsibility or liability for any User's conduct, product claims, or representations. Users are solely responsible for complying with all laws and regulations applicable to their listings, sales, purchases, and interactions through the Platform. The Platform does not permit transactions or direct commercial interactions between Non-Merchants.

Tekel may, in its discretion, provide tools, ratings, or support services intended to assist Users in evaluating products, services, or other Users. Such features are provided for informational purposes only and do not constitute endorsements or guarantees by Tekel. You agree that Tekel is not responsible for monitoring or resolving disputes between Users, except as expressly set forth in these Terms, and that any remedies you may seek relating to a transaction must be pursued directly against the other User, not against Tekel.

V. Payments and Fees

Payments on the Platform are processed through third-party providers, including Stripe, and you agree to comply with their terms and verification requirements. By making a payment through the Platform, you authorize Tekel and its third-party payment processors to process, hold, and transfer funds as necessary to complete your transaction.

Applicable taxes may be calculated and collected in accordance with applicable law, including through third-party payment processors based on information provided by Sellers. Tekel does not control payment authorization, refunds, chargebacks, cancellations, or payment reversals and is not responsible for the outcome of any payment dispute between you, a Seller, and a payment processor.

Any disputes regarding payments must be resolved directly between you and the Seller or the applicable payment processor, subject to any assistance Tekel may choose to provide as described in these Terms.

VI. User Content and Intellectual Property

You retain ownership of all content you submit to the Platform, including product listings, photographs, videos, reviews, and other material ("User Content"). By posting or uploading User Content, you grant Tekel a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, display, and modify such content in connection with the operation, marketing, and improvement of the Platform.

You represent and warrant that you have all rights necessary to grant this license, and that your User Content does not violate any intellectual property rights, privacy rights, or other rights of third parties. Tekel reserves the right, in its sole discretion and without notice, to remove or disable any User Content that it believes violates these Terms, infringes upon the rights of others, or could expose Tekel or its Users to legal liability.

Tekel complies with the Digital Millennium Copyright Act ("DMCA") and will respond to valid takedown notices. If you believe your content has been wrongfully removed, you may submit a counter-notice in accordance with the DMCA.

VII. Prohibited Activities

You agree not to use the Platform in any manner that is unlawful, harmful, or abusive, or that could damage Tekel, the Platform, or other Users. Prohibited activities include selling counterfeit, stolen, unsafe, or otherwise illegal goods; listing or offering products or services that fail to comply with applicable health, safety, labeling, or consumer protection laws; attempting to defraud buyers, sellers, or Tekel; engaging in harassment, threats, or unlawful discrimination against other Users; manipulating or attempting to manipulate ratings, reviews, or search results; using automated systems such as bots, scrapers, or crawlers to access or interfere with the Platform; circumventing or attempting to circumvent platform fees, including by arranging off-platform transactions; and uploading or distributing malware, viruses, or other harmful code, or attempting to gain unauthorized access to the Platform or its systems. Any violation of this section may result in immediate suspension or termination of your account, removal of content, and potential civil or criminal liability.

VIII. Fulfillment, Delivery, and Issue Resolution

Sellers are solely responsible for timely order fulfillment, proper delivery, and ensuring that products and services conform to their descriptions. Buyers are responsible for reviewing product listings and confirming details before making a purchase. Tekel is not responsible for shipping, logistics, or the performance of Users. Users agree to make reasonable efforts to resolve disputes directly with one another before seeking assistance from Tekel. If a buyer and seller cannot resolve a dispute, Tekel may, at its sole discretion, choose to assist in facilitating resolution. Any decision made by Tekel in connection with a dispute is final and binding on the parties, and where evidence is equally balanced, Tekel reserves the right to favor the buyer. Buyers assume all risk when engaging in off-platform arrangements, such as in-person pickups, and Tekel bears no liability for those transactions.

IX. Suspension and Termination

We may suspend or terminate your access to the Platform at our sole discretion if you violate these Terms, applicable law, or engage in conduct harmful to the Platform or its Users. Upon termination of your account, you remain responsible for any outstanding obligations incurred prior to termination. Provisions of these Terms relating to intellectual property, indemnification, limitation of liability, and dispute resolution will survive termination.

X. Disclaimers

The Platform, and all content, features, and services provided through it, are offered "as is" and "as available," without warranties of any kind, express or implied. To the fullest extent permitted by law, Tekel disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, title, and non-infringement.

Tekel does not guarantee uninterrupted or error-free operation of the Platform, that any content or listing will be accurate, complete, or reliable, or that products or services purchased or sold through the Platform will meet your expectations. Tekel makes no warranties regarding the acts or omissions of third-party providers, including payment processors, shipping carriers, or identity verification services.

XI. Limitation of Liability

To the maximum extent permitted by law, Tekel and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including without limitation loss of profits, loss of business opportunities, loss of goodwill, or reputational harm, arising out of or relating to your use of the Platform.

In no event shall Tekel aggregate liability for all claims exceed the greater of one hundred dollars ($100). This limitation applies even if any limited remedy fails of its essential purpose.

XII. Indemnification

You agree to indemnify, defend, and hold harmless Tekel, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorney's fees, arising out of or in any way connected with (a) your access to or use of the Platform; (b) your products, services, or User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.

XIII. Governing Law and Dispute Resolution

These Terms shall be governed by and construed under the laws of the State of Wyoming, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved exclusively through binding arbitration administered by the American Arbitration Association in Cheyenne, Wyoming, unless both parties agree otherwise in writing.

You agree that any claim you may have against Tekel must be filed within one (1) year after the event giving rise to the claim, or it is permanently barred. You also agree to waive any right to participate in class actions or class-wide arbitration.

XIV. Modifications

We may modify these Terms from time to time. When changes are made, we will post the updated Terms on the Platform and update the "Effective Date" above. Your continued use of the Platform after such changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform.

XV. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tekel regarding your use of the Platform. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. You may not assign or transfer your rights or obligations under these Terms without our prior written consent, and any attempted assignment without consent will be void. We may assign these Terms without restriction in connection with a merger, acquisition, or sale of assets.
